Paramount Skydance has presented the European Commission with proposed measures aimed at resolving antitrust concerns regarding its acquisition of Warner Bros. Discovery, which owns assets including TVN. The European Commission is currently evaluating whether the deal will disrupt competition within the EU market.
The Commission was initially scheduled to issue a ruling on July 7; however, the new offer submitted by Paramount has extended the deadline for the final decision to July 22. Paramount has stated it is confident that these solutions comprehensively address the Commission’s preliminary concerns and support a timely approval.
Antitrust Strategy and Market Impact
Recent reports citing Reuters suggest these remedies, which likely involve abandoning a film distribution partnership with Universal Pictures, are intended to appease European cinema owners who raised concerns about potential competition law violations. If the European Commission deems these measures insufficient, it may still initiate an in-depth antitrust investigation.
The acquisition, if finalized, would consolidate an expansive portfolio. Paramount currently controls Paramount Pictures, CBS, Nickelodeon, MTV, and Paramount+, while Warner Bros. Discovery operates assets such as HBO, Max, CNN, Warner Bros. Studios, Discovery Channel, and Cartoon Network.

While the U.S. Department of Justice has already granted approval for the takeover by David Ellison’s Paramount Skydance, the deal still faces potential legal challenges from state authorities in the United States.
